Equity

SEAF will invest through common equity or preferred equity to take an equity position in investee companies. Generally, SEAF takes minority position in the shareholding of the investee with governance and information rights, but may elect to take majority positions for certain opportunities.

Quasi Equity

A quasi-equity investment is simply a hybrid of debt and equity. Quasi-equity fills the gap between debt and equity and aims to reflect some of the characteristics of both. A quasi-equity type financing is used when share capital may not be possible due to the investee’s legal structure, stage of business, industry characteristics etc.

SEAF’s quasi-equity structures are generally subordinated debt-like instruments that combine current interest payments with a participation in revenue, earnings growth or enterprise value.
